These Terms and Conditions (the "Terms") are an agreement between you and Hoehne Labs Inc. ("Hoehne Labs," "we," "us," or "our") governing your use of Void (the "App") and Void's optional paid server-storage and cross-device synchronization features (the "Cloud Service").
By downloading, accessing, or using Void, you agree to these Terms. If you do not agree, do not use Void.
1. Void and the Cloud Service
Void is a time-tracking application. The App's core features can be used for free without an internet connection or Account. In offline use, app data remains on your device and Hoehne Labs cannot access, recover, synchronize, or back it up.
Users who create an online Void account (an "Account") may purchase a paid, automatically renewing monthly or annual plan (a "Subscription") for the Cloud Service. The Cloud Service stores app data on servers provided through Supabase and synchronizes that data across supported devices associated with the same Account.
The Cloud Service is optional. A Subscription is required only for server storage and cross-device synchronization, not for the App's free offline features.
2. Eligibility
You must be at least 13 years old to create an Account or use the Cloud Service. If the law where you live requires you to be older to enter this agreement or consent to online data processing, you may use an Account or the Cloud Service only with the authorization of a parent or legal guardian. By using Void on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Licence to use Void
Subject to these Terms and any applicable app-store terms, Hoehne Labs grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to install and use Void for your own lawful purposes.
Void, including its software, design, branding, and other content supplied by Hoehne Labs, is owned by Hoehne Labs or its licensors and is protected by applicable intellectual-property laws. Except where law permits otherwise, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Void, or remove proprietary notices from it.
4. Your data
You retain ownership of the data you create in Void. If you use the Cloud Service, you give Hoehne Labs a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, format, and otherwise process that data only as reasonably necessary to provide, secure, maintain, and support the Cloud Service, comply with law, and enforce these Terms. This licence ends when the data is deleted from our systems, subject to lawful retention and backup lifecycles described in our Privacy Policy.
You represent that you have the rights needed to provide any data you place in Void and that doing so does not violate law or another person's rights.
Our Privacy Policy explains how we handle personal information and is incorporated into these Terms by reference.
5. Accounts and security
You are responsible for:

providing accurate Account information;
-
keeping your login credentials and devices secure;
-
activity occurring through your Account, except to the extent caused by our breach of these Terms; and
-
notifying us promptly if you suspect unauthorized access or another security problem.
You may not share an Account in a way that circumvents Subscription limits or impersonate another person. We may require email verification or other reasonable steps to protect an Account.
6. Subscriptions and pricing
When the Cloud Service is offered for purchase, the standard Subscription prices are:

United States dollars: USD $3 per month or USD $30 per year.

Canadian dollars: CAD $4 per month or CAD $40 per year.
Applicable taxes may be added. An app store may display an equivalent localized price based on its storefront, pricing tiers, or currency rules. The currency, price, taxes, billing interval, and total shown at checkout control your purchase if they differ from the standard prices above.
We do not promise a free trial. If we offer a trial or promotional price in the future, its duration, eligibility requirements, and renewal price will be disclosed before purchase.
Automatic renewal
Subscriptions renew automatically for the same billing interval until cancelled. By purchasing a Subscription, you authorize the applicable payment provider to charge the displayed Subscription price and taxes at the beginning of each renewal period using your selected payment method.
We may change future Subscription prices. A price change will not alter a term already paid for and will apply only to a later renewal after any notice or consent required by applicable law or the payment provider.
App-store purchases
Apple processes Subscriptions purchased through Apple's App Store, and Google processes Subscriptions purchased through Google Play. The applicable store's billing, cancellation, and refund rules also apply. You must manage or cancel an app-store Subscription through that store.
Direct web purchases
Stripe processes Subscriptions purchased directly from Hoehne Labs through the web. You may cancel a direct Subscription using the web billing controls made available with your Account or by contacting nathan@hoehnelabs.combefore renewal.
Cancellation and refunds
Cancellation prevents the next renewal but ordinarily takes effect at the end of the current paid term. You will continue to have paid access until then. Fees for direct purchases are not prorated or refunded for a partially used billing period except where required by law or where Hoehne Labs chooses to grant a refund. Refund requests for app-store purchases must be made through the applicable store and are governed by that store's rules.
If Hoehne Labs permanently discontinues the paid Cloud Service before the end of a term you have already paid for, we will provide a proportional refund for the unused portion unless substantially equivalent service remains available or applicable law provides another remedy.
7. What happens when a Subscription ends
When the paid term ends, cross-device synchronization and other Cloud Service access are disabled, but Void's free offline features remain available. Ending or cancelling a Subscription does not delete your Account or cloud data. We retain cloud data while your Account exists so it can be available if you subscribe again.
You may separately request deletion of your Account and cloud data using any deletion control made available in Void or by emailing nathan@hoehnelabs.com. Account deletion is handled as described in the Privacy Policy. Deleting your Account does not necessarily cancel a Subscription billed by Apple or Google; you must cancel it through the applicable store to prevent future charges.
8. Your backup responsibility
You are responsible for maintaining copies of app data that you cannot afford to lose. In particular:

Hoehne Labs has no access to app data that exists only on your device;

deleting the App, losing or damaging a device, operating-system behaviour, storage failure, or an unsuccessful device backup may permanently destroy offline data; and
-
the Cloud Service is a synchronization convenience and is not a guaranteed archival or disaster-recovery service.
Do not rely on Void as the only copy of important records.
9. Acceptable use
You may not:
-
use Void or the Cloud Service unlawfully or to violate another person's rights;
-
upload malicious code or content that interferes with the service;
-
attempt to bypass authentication, Subscription checks, security controls, access restrictions, or usage limits;
-
access another user's Account or data without authorization;
-
probe, disrupt, overload, or damage Void, the Cloud Service, or a service provider's systems;
-
use automated means to scrape or extract data from the Cloud Service except through an interface we expressly provide for that purpose; or
-
resell, rent, or commercially exploit access to the Cloud Service without our written permission.
10. Availability and changes
We aim to keep Void and the Cloud Service useful and available, but we do not promise uninterrupted, error-free, or permanent operation. Maintenance, security work, network conditions, device or operating-system changes, Supabase or payment-provider outages, and events outside our control may interrupt or alter the service.
We may add, remove, or change features and may impose reasonable technical limits. We will not materially reduce a paid feature during a current Subscription term without reasonable notice or an appropriate remedy where required by law. Nothing in these Terms requires us to provide a future feature, platform, update, or integration.
11. Suspension and termination
You may stop using Void at any time. You may cancel a Subscription and request Account deletion as described above.
We may suspend or terminate Cloud Service access if:

payment is overdue, reversed, or fraudulent;
-
you materially or repeatedly violate these Terms;
-
your use creates a security, legal, or operational risk;
-
suspension is required by law or a service provider; or
-
we discontinue the Cloud Service.
Where reasonable, we will give notice and an opportunity to correct the issue before suspension or termination. We may act immediately when needed to address fraud, security, legal exposure, or harm. Termination does not remove payment obligations already incurred. Sections that by their nature should survive termination—including ownership, disclaimers, liability limits, and dispute terms—will survive.
12. Time-tracking and professional-use disclaimer
Void is a general personal time-tracking tool. Entries, timers, calculations, reports, and synchronization results may be delayed, incomplete, inaccurate, duplicated, or lost. You are responsible for reviewing and verifying information before relying on it.
Void is not a payroll, employment-compliance, invoicing, accounting, medical, legal, or other professional service, and its output is not professional advice. Do not use Void as the sole basis for wages, invoices, regulatory records, health decisions, legal deadlines, or other decisions where an error could cause material harm.
13. Disclaimers
To the maximum extent permitted by law, Void and the Cloud Service are provided "as is" and "as available." Hoehne Labs disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and data preservation.
We do not warrant that Void will meet your requirements, operate without interruption or error, synchronize every record, preserve every record, or remain compatible with every device or operating-system version.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted, and you retain any rights that cannot lawfully be waived.
14. Limitation of liability
To the maximum extent permitted by law, Hoehne Labs and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of data, profits, revenue, business, opportunity, goodwill, or use, arising from or related to Void or the Cloud Service, even if advised that such damage was possible.
To the maximum extent permitted by law, the total aggregate liability of Hoehne Labs for all claims arising from or related to Void, the Cloud Service, or these Terms will not exceed the greater of:

the amount you paid to Hoehne Labs for the Cloud Service during the 12 months immediately before the event giving rise to the claim; or
-
CAD $50.
These exclusions and limits do not apply to liability that cannot legally be excluded or limited, including any non-waivable consumer rights. They apply even if a limited remedy fails of its essential purpose.
15. Governing law and disputes
These Terms are governed by the laws of Manitoba and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory right you have to bring a claim elsewhere, the courts located in Manitoba, Canada will have exclusive jurisdiction over disputes arising from or related to these Terms, Void, or the Cloud Service.
Nothing in these Terms limits mandatory consumer protections or other rights that the law where you live does not permit you to waive.
Before beginning formal proceedings, you and Hoehne Labs agree to make a reasonable good-faith effort to resolve the dispute by contacting the other party and describing the issue and requested resolution.
16. Changes to these Terms
We may update these Terms as Void, the Cloud Service, or applicable law changes. We will update the date above and provide reasonable advance notice of material changes through the App, by email, or by another appropriate method. Changes will apply prospectively unless law requires otherwise.
If you do not agree to updated Terms, you must stop using the affected service and cancel your Subscription before its next renewal. Continuing to use the affected service after updated Terms take effect constitutes acceptance to the extent permitted by law.
17. General terms

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Hoehne Labs regarding Void and replace prior agreements on the same subject.

Severability. If any provision is found unenforceable, it will be enforced to the maximum lawful extent or modified as little as necessary, and the remaining provisions will continue.

No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment. You may not assign these Terms without our written consent. Hoehne Labs may assign them in connection with a merger, reorganization, financing, sale of assets, or by operation of law, subject to applicable law.

Force majeure. Hoehne Labs is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, labour disputes, internet or utility failures, government action, war, civil disorder, epidemics, cyberattacks, or service-provider outages.

Headings. Headings are for convenience and do not affect interpretation.
